Tokenpaper Terms of Service

These Terms govern your use of Tokenpaper, a MiCA whitepaper and Inline XBRL filing tool operated by Parallax Technologies GmbH. Company registration and contact details are set out in our Impressum.

1. Software, not legal advice
Tokenpaper is software. It structures your input into a MiCA whitepaper, maps each disclosure to Article 6 and Annex I of Regulation (EU) 2023/1114, and validates the output as an Inline XBRL document against the official ESMA MiCA taxonomy. Tokenpaper does not provide legal advice, does not act as your legal representative, and does not review the substantive accuracy of the information you supply. Validation against the ESMA taxonomy confirms structural and technical conformance with the taxonomy's assertions; it is not an assurance that your whitepaper is legally compliant, complete, fair, clear or not misleading.
2. Whitepaper liability stays with the issuer
Under Article 15 of MiCA, civil liability for the content of a crypto-asset whitepaper rests with the offeror or person seeking admission to trading, and their management body. You remain solely responsible for the accuracy, completeness, fairness and clarity of the information in your whitepaper and for the decision to notify, publish and offer. Tokenpaper never assumes that liability and is not the issuer, offeror or filer.
3. No regulatory approval
A MiCA whitepaper for "other" crypto-assets is not approved by any national competent authority or by ESMA before publication. You are responsible for notifying your home national competent authority under Article 8 and for meeting all applicable deadlines and formats. Tokenpaper produces a filing-ready file; it does not submit, notify or file on your behalf.
4. Limitation of liability
To the maximum extent permitted by law, the total aggregate liability of Parallax Technologies GmbH arising out of or in connection with your use of Tokenpaper is limited to the fees you paid for the specific whitepaper giving rise to the claim. Parallax Technologies GmbH is not liable for indirect, incidental or consequential loss, loss of profit, regulatory fines, or loss arising from your whitepaper content, your filing decisions, or third-party services. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under mandatory applicable law, including for intent, gross negligence, personal injury, or under mandatory product-liability or consumer-protection rules.
5. Fees and invoicing
Tokenpaper is billed on an invoice basis. Fees for each tier are stated on the pricing page and are one-off, per whitepaper. There is no subscription and no auto-renewal. On engagement you receive an invoice; unless agreed otherwise, invoices are payable within 14 days of the invoice date. Prices exclude VAT where applicable. We may revise pricing for future engagements, but the fee for an engagement is fixed once invoiced.
6. Data handling
We process the information you supply solely to generate, map and validate your whitepaper and to correspond with you about your engagement. How we handle personal data is described in our Privacy Policy.
7. Changes to these Terms
These Terms are a draft pending legal review and will change before they take effect. Once in force, we may update them; the version applicable to an engagement is the one in force when the engagement is invoiced.
